{"id":61422,"date":"2026-03-12T20:00:54","date_gmt":"2026-03-12T17:00:54","guid":{"rendered":"https:\/\/ozansoylu.av.tr\/?p=61422"},"modified":"2026-03-11T22:41:41","modified_gmt":"2026-03-11T19:41:41","slug":"contrat-de-construction-en-echange-dappartement-en-turquie","status":"publish","type":"post","link":"https:\/\/ozansoylu.av.tr\/fr\/contrat-de-construction-en-echange-dappartement-en-turquie\/","title":{"rendered":"Contrat de Construction en \u00c9change d&rsquo;Appartement en Turquie"},"content":{"rendered":"<p>Le contrat de construction en \u00e9change d&rsquo;appartement, connu en droit turc sous le nom de <em>kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmesi<\/em> ou <em>arsa pay\u0131 kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmesi<\/em>, est l&rsquo;un des instruments juridiques les plus r\u00e9pandus dans le secteur immobilier en Turquie. En vertu de ce m\u00e9canisme, le propri\u00e9taire foncier transf\u00e8re une quote-part d\u00e9termin\u00e9e de son terrain \u00e0 un entrepreneur, lequel s&rsquo;engage en contrepartie \u00e0 \u00e9difier un immeuble sur ce terrain et \u00e0 livrer certaines unit\u00e9s ind\u00e9pendantes au propri\u00e9taire. Ce mod\u00e8le permet au propri\u00e9taire foncier d&rsquo;acqu\u00e9rir des biens immobiliers sans aucun apport financier, tandis que l&rsquo;entrepreneur obtient le droit de vendre les unit\u00e9s restantes afin de r\u00e9aliser un b\u00e9n\u00e9fice.<\/p>\n<h2>Nature Juridique du Contrat<\/h2>\n<p>Le contrat de construction en \u00e9change d&rsquo;appartement n&rsquo;est pas express\u00e9ment r\u00e9glement\u00e9 en droit turc en tant que type contractuel distinct. Il est qualifi\u00e9 de contrat innomm\u00e9 ou atypique (<em>isimsiz s\u00f6zle\u015fme<\/em>), r\u00e9gi par le principe de la libert\u00e9 contractuelle consacr\u00e9 \u00e0 l&rsquo;article 26 du Code des obligations turc (COT). Dans la mesure o\u00f9 ce contrat combine les \u00e9l\u00e9ments de deux types contractuels distincts, il est consid\u00e9r\u00e9 comme un contrat mixte. L&rsquo;obligation de l&rsquo;entrepreneur de construire et de livrer l&rsquo;ouvrage est soumise aux dispositions relatives au contrat d&rsquo;entreprise (<em>eser s\u00f6zle\u015fmesi<\/em>) pr\u00e9vues \u00e0 l&rsquo;article 470 et suivants du COT, tandis que l&rsquo;obligation du propri\u00e9taire foncier de transf\u00e9rer le bien immobilier est r\u00e9gie par les r\u00e8gles applicables aux promesses de vente immobili\u00e8re (<em>ta\u015f\u0131nmaz sat\u0131\u015f vaadi s\u00f6zle\u015fmesi<\/em>) en vertu de l&rsquo;article 237 du COT.<\/p>\n<h2>Conditions de Validit\u00e9 Formelle<\/h2>\n<p>Dans la mesure o\u00f9 le contrat porte sur le transfert d&rsquo;un bien immobilier, il est soumis \u00e0 des exigences formelles strictes en droit turc. Conform\u00e9ment \u00e0 l&rsquo;article 706 du Code civil turc (CCT), <em>\u00ab\u00a0Ta\u015f\u0131nmaz m\u00fclkiyetinin devrini ama\u00e7layan s\u00f6zle\u015fmelerin ge\u00e7erli olmas\u0131, resm\u00ee \u015fekilde d\u00fczenlenmi\u015f bulunmalar\u0131na ba\u011fl\u0131d\u0131r,\u00a0\u00bb<\/em> ce qui signifie que les contrats ayant pour objet le transfert de la propri\u00e9t\u00e9 immobili\u00e8re ne sont valables que s&rsquo;ils sont \u00e9tablis en la forme officielle. Cette exigence est renforc\u00e9e par l&rsquo;article 237 du COT, l&rsquo;article 60 de la loi sur le notariat et l&rsquo;article 26 de la loi sur le cadastre. En cons\u00e9quence, le contrat de construction en \u00e9change d&rsquo;appartement doit \u00eatre pass\u00e9 devant notaire sous la forme d&rsquo;un acte notari\u00e9 (<em>d\u00fczenleme \u015feklinde resmi senet<\/em>). La simple certification notariale d&rsquo;une signature ne satisfait pas \u00e0 cette exigence.<\/p>\n<p>Un contrat qui ne respecte pas cette condition de forme est juridiquement nul et ne produit aucun droit ni obligation pour l&rsquo;une ou l&rsquo;autre des parties. Toutefois, les tribunaux turcs appliquent une exception importante fond\u00e9e sur le principe de bonne foi consacr\u00e9 \u00e0 l&rsquo;article 2 du CCT. Lorsque la construction a \u00e9t\u00e9 substantiellement achev\u00e9e sur la foi d&rsquo;un contrat conclu sans respecter les formalit\u00e9s requises, le propri\u00e9taire foncier ne peut invoquer la nullit\u00e9 formelle pour se soustraire \u00e0 ses obligations, une telle d\u00e9marche constituant un abus de droit.<\/p>\n<h2>Parties au Contrat<\/h2>\n<p>Les deux parties au contrat de construction en \u00e9change d&rsquo;appartement sont le propri\u00e9taire foncier (<em>arsa sahibi<\/em>) et l&rsquo;entrepreneur (<em>y\u00fcklenici<\/em> ou <em>m\u00fcteahhit<\/em>). Le propri\u00e9taire foncier peut \u00eatre une personne physique, une personne morale de droit priv\u00e9 ou une personne morale de droit public. L&rsquo;entrepreneur est g\u00e9n\u00e9ralement une soci\u00e9t\u00e9 de construction ou un promoteur individuel. En pratique, il est \u00e9galement fr\u00e9quent que plusieurs propri\u00e9taires fonciers soient parties \u00e0 un m\u00eame contrat, notamment dans le cadre de projets de r\u00e9novation urbaine portant sur un \u00eelot entier.<\/p>\n<h2>Obligations du Propri\u00e9taire Foncier<\/h2>\n<p>L&rsquo;obligation principale du propri\u00e9taire foncier est de mettre le terrain \u00e0 la disposition de l&rsquo;entrepreneur dans un \u00e9tat physiquement et juridiquement propre \u00e0 la construction. L&rsquo;aptitude physique implique que le terrain soit libre de toute construction existante et de tout occupant. L&rsquo;aptitude juridique suppose que le terrain soit constructible au regard de la r\u00e9glementation d&rsquo;urbanisme applicable pr\u00e9vue par la loi n\u00b0 3194 sur la construction (<em>\u0130mar Kanunu<\/em>). Le propri\u00e9taire foncier est \u00e9galement tenu de transf\u00e9rer les quotes-parts de terrain convenues \u00e0 l&rsquo;entrepreneur dans les d\u00e9lais stipul\u00e9s au contrat. Le manquement \u00e0 cette obligation constitue une mise en demeure (<em>temerr\u00fct<\/em>) et ouvre \u00e0 l&rsquo;entrepreneur les voies de recours pr\u00e9vues \u00e0 l&rsquo;article 125 du COT.<\/p>\n<h2>Obligations de l&rsquo;Entrepreneur<\/h2>\n<p>L&rsquo;obligation principale de l&rsquo;entrepreneur est d&rsquo;achever la construction en parfaite conformit\u00e9 avec les sp\u00e9cifications, les plans techniques et le calendrier d\u00e9finis dans le contrat. L&rsquo;entrepreneur doit fournir tous les mat\u00e9riaux et supporter l&rsquo;int\u00e9gralit\u00e9 des co\u00fbts de construction, sauf convention contraire. \u00c0 l&rsquo;ach\u00e8vement des travaux, l&rsquo;entrepreneur est tenu de livrer au propri\u00e9taire foncier les unit\u00e9s ind\u00e9pendantes qui lui sont destin\u00e9es, en parfait \u00e9tat et sans d\u00e9faut. En pr\u00e9sence de vices, le propri\u00e9taire foncier est en droit de demander la r\u00e9paration, une r\u00e9duction proportionnelle de la contrepartie convenue ou la r\u00e9solution du contrat, selon la gravit\u00e9 des d\u00e9fauts et conform\u00e9ment \u00e0 l&rsquo;article 475 du COT.<\/p>\n<h2>Inscription du Contrat au Registre Foncier<\/h2>\n<p>Bien que l&rsquo;inscription ne soit pas une condition de validit\u00e9, le contrat de construction en \u00e9change d&rsquo;appartement peut faire l&rsquo;objet d&rsquo;une annotation (<em>\u015ferh<\/em>) au registre foncier. Cette annotation conf\u00e8re au droit personnel de l&rsquo;entrepreneur un caract\u00e8re opposable aux tiers. Conform\u00e9ment \u00e0 l&rsquo;article 1009 du CCT, <em>\u00ab\u00a0Arsa pay\u0131 kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmesinden do\u011fan ki\u015fisel haklar, tapu k\u00fct\u00fc\u011f\u00fcne \u015ferh verilebilir,\u00a0\u00bb<\/em> permettant ainsi l&rsquo;inscription des droits de l&rsquo;entrepreneur d\u00e9coulant du contrat en regard du titre de propri\u00e9t\u00e9. Une fois l&rsquo;annotation effectu\u00e9e, l&rsquo;entrepreneur peut \u00e9galement demander la radiation des s\u00fbret\u00e9s ou saisies inscrites post\u00e9rieurement qui seraient incompatibles avec le contrat.<\/p>\n<h2>Cons\u00e9quences du D\u00e9faut d&rsquo;Ach\u00e8vement par l&rsquo;Entrepreneur<\/h2>\n<p>Lorsque l&rsquo;entrepreneur ne parvient pas \u00e0 achever la construction dans le d\u00e9lai convenu, le propri\u00e9taire foncier peut le mettre en demeure et lui accorder un d\u00e9lai suppl\u00e9mentaire raisonnable pour s&rsquo;ex\u00e9cuter. Si l&rsquo;entrepreneur demeure d\u00e9faillant, le propri\u00e9taire foncier peut r\u00e9soudre le contrat, r\u00e9clamer des dommages-int\u00e9r\u00eats ou faire ex\u00e9cuter les travaux par un tiers aux frais de l&rsquo;entrepreneur. Aux termes de l&rsquo;article 473 du COT, <em>\u00ab\u00a0Y\u00fcklenicinin i\u015fi gere\u011fi gibi ya da s\u00f6zle\u015fmede \u00f6ng\u00f6r\u00fclen s\u00fcre i\u00e7inde bitiremeyece\u011fi a\u00e7\u0131k\u00e7a anla\u015f\u0131l\u0131yorsa, i\u015f sahibi teslim i\u00e7in \u00f6ng\u00f6r\u00fclen g\u00fcn\u00fc beklemek zorunda olmaks\u0131z\u0131n s\u00f6zle\u015fmeden d\u00f6nebilir,\u00a0\u00bb<\/em> ce qui signifie que lorsqu&rsquo;il est manifeste que l&rsquo;entrepreneur n&rsquo;ach\u00e8vera pas les travaux correctement ou dans les d\u00e9lais, le propri\u00e9taire foncier peut r\u00e9soudre le contrat sans attendre la date de livraison.<\/p>\n<h2>R\u00e9siliation du Contrat<\/h2>\n<p>La r\u00e9siliation du contrat de construction en \u00e9change d&rsquo;appartement est soumise aux m\u00eames exigences formelles que celles qui gouvernent sa formation. Une d\u00e9claration unilat\u00e9rale de r\u00e9siliation est sans effet juridique ; le contrat ne peut prendre fin que par accord mutuel \u00e9crit \u00e9tabli devant notaire ou par d\u00e9cision judiciaire. Lorsque les parties ne parviennent pas \u00e0 s&rsquo;entendre sur la r\u00e9siliation, la partie l\u00e9s\u00e9e doit engager une proc\u00e9dure judiciaire et obtenir une ordonnance du tribunal. Cette r\u00e8gle a \u00e9t\u00e9 constamment confirm\u00e9e par la Cour de cassation turque (<em>Yarg\u0131tay<\/em>), qui a jug\u00e9 que toute tentative informelle de r\u00e9siliation est sans effet juridique.<\/p>\n<h2>Litiges et Tribunaux Comp\u00e9tents<\/h2>\n<p>Les litiges d\u00e9coulant des contrats de construction en \u00e9change d&rsquo;appartement rel\u00e8vent de la comp\u00e9tence des tribunaux civils de premi\u00e8re instance (<em>asliye hukuk mahkemesi<\/em>). La comp\u00e9tence territoriale est g\u00e9n\u00e9ralement d\u00e9termin\u00e9e par le lieu de situation du bien immobilier en cause. Les parties peuvent \u00e9galement ins\u00e9rer des clauses compromissoires dans leurs contrats, auquel cas les litiges sont soumis \u00e0 l&rsquo;arbitrage plut\u00f4t qu&rsquo;aux juridictions \u00e9tatiques. Compte tenu de la complexit\u00e9 et de l&rsquo;importance financi\u00e8re de ces contrats, il est vivement conseill\u00e9 de consulter un avocat sp\u00e9cialis\u00e9 en droit immobilier turc avant de
