{"id":61512,"date":"2026-03-13T20:00:35","date_gmt":"2026-03-13T17:00:35","guid":{"rendered":"https:\/\/ozansoylu.av.tr\/?p=61512"},"modified":"2026-03-11T23:22:54","modified_gmt":"2026-03-11T20:22:54","slug":"ugovor-o-izgradnji-u-zamenu-za-stan-u-turskoj","status":"publish","type":"post","link":"https:\/\/ozansoylu.av.tr\/sr\/ugovor-o-izgradnji-u-zamenu-za-stan-u-turskoj\/","title":{"rendered":"Ugovor o Izgradnji u Zamenu za Stan u Turskoj"},"content":{"rendered":"<p>Ugovor o izgradnji u zamenu za stan, poznat u turskom pravu pod nazivom <em>kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmesi<\/em> ili <em>arsa pay\u0131 kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmesi<\/em>, jedan je od najrasprostranjenijih pravnih instrumenata u sektoru nekretnina u Turskoj. Na osnovu ovog mehanizma, vlasnik zemlji\u0161ta prenosi izvo\u0111a\u010du radova odre\u0111eni udeo u pravu svojine na zemlji\u0161tu, a izvo\u0111a\u010d se zauzvrat obavezuje da na tom zemlji\u0161tu podigne zgradu i preda vlasniku odre\u0111ene samostalne stambene jedinice. Ovaj model omogu\u0107ava vlasniku zemlji\u0161ta da stekne nekretninu bez ikakvih finansijskih izdataka, dok izvo\u0111a\u010d sti\u010de pravo da proda preostale jedinice radi ostvarivanja dobiti.<\/p>\n<h2>Pravna Priroda Ugovora<\/h2>\n<p>Ugovor o izgradnji u zamenu za stan nije izri\u010dito ure\u0111en turskim pravom kao posebna vrsta ugovora. Kvalifikuje se kao neimenovani ili atipi\u010dni ugovor (<em>isimsiz s\u00f6zle\u015fme<\/em>), koji se zasniva na na\u010delu slobode ugovaranja propisanom \u010dlanom 26. Turskog zakona o obligacijama (TZO). Budu\u0107i da ovaj ugovor objedinjuje elemente dvaju razli\u010ditih ugovornih tipova, smatra se me\u0161ovitim ugovorom. Obaveza izvo\u0111a\u010da da izgradi i preda objekat podle\u017ee odredbama o ugovoru o delu (<em>eser s\u00f6zle\u015fmesi<\/em>) predvi\u0111enim \u010dlanom 470. i slede\u0107im odredbama TZO, dok je obaveza vlasnika zemlji\u0161ta da prenese nepokretnost ure\u0111ena pravilima o predugovoru o prodaji nepokretnosti (<em>ta\u015f\u0131nmaz sat\u0131\u015f vaadi s\u00f6zle\u015fmesi<\/em>) u skladu sa \u010dlanom 237. TZO.<\/p>\n<h2>Uslovi Formalne Punova\u017enosti<\/h2>\n<p>Budu\u0107i da ugovor podrazumeva prenos prava svojine na nepokretnosti, on podle\u017ee strogim formalnim zahtevima prema turskom pravu. U skladu sa \u010dlanom 706. Turskog gra\u0111anskog zakonika (TGZ), <em>&#8222;Ta\u015f\u0131nmaz m\u00fclkiyetinin devrini ama\u00e7layan s\u00f6zle\u015fmelerin ge\u00e7erli olmas\u0131, resm\u00ee \u015fekilde d\u00fczenlenmi\u015f bulunmalar\u0131na ba\u011fl\u0131d\u0131r,&#8220;<\/em> \u0161to zna\u010di da su ugovori \u010diji je cilj prenos prava svojine na nepokretnosti punova\u017eni samo ako su sa\u010dinjeni u propisanoj slu\u017ebenoj formi. Ovaj zahtev dodatno je potvr\u0111en \u010dlanom 237. TZO, \u010dlanom 60. Zakona o javnom bele\u017eni\u0161tvu i \u010dlanom 26. Zakona o zemlji\u0161nim knjigama. Shodno tome, ugovor o izgradnji u zamenu za stan mora biti zaklju\u010den pred javnim bele\u017enikom u formi javnobele\u017eni\u010dke isprave (<em>d\u00fczenleme \u015feklinde resmi senet<\/em>). Samo overavanje potpisa od strane javnog bele\u017enika ne zadovoljava ovaj uslov.<\/p>\n<p>Ugovor koji ne ispunjava navedeni formalni uslov pravno je ni\u0161tavan i ne proizvodi nikakva prava ni obaveze za bilo koju od ugovornih strana. Me\u0111utim, turski sudovi primenjuju va\u017ean izuzetak zasnovan na na\u010delu savesnosti i po\u0161tenja propisanom \u010dlanom 2. TGZ. Kada je izgradnja u zna\u010dajnoj meri okon\u010dana u oslanjanju na ugovor zaklju\u010den bez ispunjavanja propisanih formalnosti, vlasnik zemlji\u0161ta ne mo\u017ee se pozivati na formalnu ni\u0161tavost kako bi izbegao ispunjenje svojih obaveza, budu\u0107i da bi takvo postupanje predstavljalo zloupotrebu prava.<\/p>\n<h2>Ugovorne Strane<\/h2>\n<p>Ugovorne strane ugovora o izgradnji u zamenu za stan su vlasnik zemlji\u0161ta (<em>arsa sahibi<\/em>) i izvo\u0111a\u010d radova (<em>y\u00fcklenici<\/em> ili <em>m\u00fcteahhit<\/em>). Vlasnik zemlji\u0161ta mo\u017ee biti fizi\u010dko lice, privatno pravno lice ili javnopravno pravno lice. Izvo\u0111a\u010d je po pravilu gra\u0111evinsko preduze\u0107e ili individualni investitor. U praksi nije retkost da vi\u0161e vlasnika zemlji\u0161ta bude strana u jednom ugovoru, naro\u010dito u okviru projekata urbane obnove koji obuhvataju rekonstrukciju \u010ditavog gradskog bloka.<\/p>\n<h2>Obaveze Vlasnika Zemlji\u0161ta<\/h2>\n<p>Osnovna obaveza vlasnika zemlji\u0161ta jeste da preda zemlji\u0161te izvo\u0111a\u010du u stanju koje je fizi\u010dki i pravno pogodno za izgradnju. Fizi\u010dka podobnost podrazumeva da je zemlji\u0161te slobodno od svih postoje\u0107ih objekata i lica koja ga nastanjuju. Pravna podobnost zna\u010di da je izgradnja na zemlji\u0161tu dozvoljena u skladu s primenjivim propisima o urbanizmu utvr\u0111enim Zakonom br. 3194 o izgradnji (<em>\u0130mar Kanunu<\/em>). Vlasnik zemlji\u0161ta je tako\u0111e du\u017ean da prenese na izvo\u0111a\u010da ugovorene udele u zemlji\u0161tu u rokovima odre\u0111enim ugovorom. Neispunjenje ove obaveze predstavlja docnju (<em>temerr\u00fct<\/em>) i daje izvo\u0111a\u010du pravo da se koristi pravnim sredstvima predvi\u0111enim \u010dlanom 125. TZO.<\/p>\n<h2>Obaveze Izvo\u0111a\u010da Radova<\/h2>\n<p>Osnovna obaveza izvo\u0111a\u010da jeste da zavr\u0161i izgradnju u potpunoj saglasnosti sa specifikacijama, tehni\u010dkim nacrtima i rokovima utvr\u0111enim ugovorom. Izvo\u0111a\u010d je du\u017ean da obezbedi sve materijale i snosi sve tro\u0161kove izgradnje, osim ako ugovorom nije druga\u010dije predvi\u0111eno. Po okon\u010danju radova, izvo\u0111a\u010d je du\u017ean da preda vlasniku zemlji\u0161ta njemu namenjene samostalne stambene jedinice u ispravnom stanju i bez nedostataka. U slu\u010daju postojanja mana, vlasnik zemlji\u0161ta ima pravo da zahteva njihovo otklanjanje, srazmerno sni\u017eenje ugovorene naknade ili raskid ugovora, zavisno od ozbiljnosti nedostataka i u skladu sa \u010dlanom 475. TZO.<\/p>\n<h2>Upis Ugovora u Zemlji\u0161ne Knjige<\/h2>\n<p>Iako upis nije uslov punova\u017enosti ugovora, ugovor o izgradnji u zamenu za stan mo\u017ee biti zabele\u017een (<em>\u015ferh<\/em>) u zemlji\u0161nim knjigama. Ova zabele\u017eba daje li\u010dnom pravu izvo\u0111a\u010da dejstvo prema tre\u0107im licima. U skladu sa \u010dlanom 1009. TGZ, <em>&#8222;Arsa pay\u0131 kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmesinden do\u011fan ki\u015fisel haklar, tapu k\u00fct\u00fc\u011f\u00fcne \u015ferh verilebilir,&#8220;<\/em> \u010dime se omogu\u0107ava upis prava izvo\u0111a\u010da koja proisti\u010du iz ugovora uz vlasni\u010dki list. Nakon izvr\u0161ene zabele\u017ebe, izvo\u0111a\u010d mo\u017ee zahtevati i brisanje naknadno upisanih tereta ili plenidbenih zabele\u017ebi koje su nespojive s ugovorom.<\/p>\n<h2>Posledice Neizvr\u0161enja Izgradnje od Strane Izvo\u0111a\u010da<\/h2>\n<p>U slu\u010daju da izvo\u0111a\u010d ne zavr\u0161i izgradnju u ugovorenom roku, vlasnik zemlji\u0161ta mo\u017ee uputiti opomenu zbog docnje i odrediti razuman naknadni rok za ispunjenje. Ako izvo\u0111a\u010d i dalje ne ispuni obavezu, vlasnik zemlji\u0161ta mo\u017ee raskinuti ugovor, zahtevati naknadu \u0161tete ili poveriti zavr\u0161etak radova tre\u0107em licu na teret izvo\u0111a\u010da. Prema \u010dlanu 473. TZO, <em>&#8222;Y\u00fcklenicinin i\u015fi gere\u011fi gibi ya da s\u00f6zle\u015fmede \u00f6ng\u00f6r\u00fclen s\u00fcre i\u00e7inde bitiremeyece\u011fi a\u00e7\u0131k\u00e7a anla\u015f\u0131l\u0131yorsa, i\u015f sahibi teslim i\u00e7in \u00f6ng\u00f6r\u00fclen g\u00fcn\u00fc beklemek zorunda olmaks\u0131z\u0131n s\u00f6zle\u015fmeden d\u00f6nebilir,&#8220;<\/em> \u0161to zna\u010di da kada je o\u010digledno da izvo\u0111a\u010d ne\u0107e zavr\u0161iti radove na propisan na\u010din ili u predvi\u0111enim rokovima, vlasnik zemlji\u0161ta mo\u017ee raskinuti ugovor ne \u010dekaju\u0107i datum predaje objekta.<\/p>\n<h2>Raskid Ugovora<\/h2>\n<p>Raskid ugovora o izgradnji u zamenu za stan podle\u017ee istim formalnim zahtevima koji va\u017ee za njegovo zaklju\u010denje. Jednostrana izjava o raskidu nema pravno dejstvo; ugovor mo\u017ee prestati samo uzajamnim pisanim sporazumom zaklju\u010denim pred javnim bele\u017enikom ili na osnovu sudske odluke. Ukoliko se strane ne mogu sporazumeti o raskidu, o\u0161te\u0107ena strana mora pokrenuti sudski postupak i ishoditi sudsku odluku. Ovo pravilo dosledno potvr\u0111uju odluke Kasacionog suda Turske (<em>Yarg\u0131tay<\/em>), koji je ustaljeno stava da svaki neformalni poku\u0161aj raskida ugovora nema pravnih posledica.<\/p>\n<h2>Sporovi i Nadle\u017eni Sudovi<\/h2>\n<p>Sporovi koji proisti\u010du iz ugovora o izgradnji u zamenu za stan spadaju u nadle\u017enost gra\u0111anskih prvostepenih sudova (<em>asliye hukuk mahkemesi<\/em>). Mesna nadle\u017enost se po pravilu odre\u0111uje prema mestu gde se predmetna nepokretnost nalazi. Strane mogu ugovorom predvideti arbitra\u017enu klauzulu, u kom slu\u010daju se sporovi upu\u0107uju na arbitra\u017eno re\u0161avanje umesto pred dr\u017eavne sudove. Imaju\u0107i u vidu slo\u017eenost i finansijski zna\u010daj ovih ugovora, pre zaklju\u010denja ili raskida takvog ugovora izri\u010dito se preporu\u010duje konsultovanje advokata specijalizovanog za
