Enligt detta arrangemang \u00f6verf\u00f6r mark\u00e4garen en specificerad andel av sin mark till en entrepren\u00f6r, som i sin tur \u00e5tar sig att uppf\u00f6ra en byggnad p\u00e5 marken och leverera vissa sj\u00e4lvst\u00e4ndiga enheter till mark\u00e4garen. Modellen g\u00f6r det m\u00f6jligt f\u00f6r mark\u00e4garen att f\u00f6rv\u00e4rva fastigheter utan n\u00e5got ekonomiskt bidrag, medan entrepren\u00f6ren f\u00e5r r\u00e4tten att s\u00e4lja de \u00e5terst\u00e5ende enheterna f\u00f6r att generera vinst.<\/p>\n<h2>Avtalets R\u00e4ttsliga Natur<\/h2>\n<p>Byggkontrakt mot l\u00e4genhet \u00e4r inte uttryckligen reglerat i turkisk r\u00e4tt som en s\u00e4rskild avtalstyp. Det klassificeras som ett namnl\u00f6st eller atypiskt avtal (<em>isimsiz s\u00f6zle\u015fme<\/em>), som regleras av principen om avtalsfrihet i artikel 26 i den turkiska obligationslagen (TOL). Eftersom avtalet kombinerar element fr\u00e5n tv\u00e5 olika avtalstyper betraktas det som ett blandat avtal. Entrepren\u00f6rens skyldighet att uppf\u00f6ra och leverera ett verk omfattas av best\u00e4mmelserna om entreprenaavtal (<em>eser s\u00f6zle\u015fmesi<\/em>) enligt artikel 470 och f\u00f6ljande i TOL, medan mark\u00e4garens skyldighet att \u00f6verl\u00e5ta fast egendom regleras av reglerna om prelimin\u00e4ra avtal om f\u00f6rs\u00e4ljning av fast egendom (<em>ta\u015f\u0131nmaz sat\u0131\u015f vaadi s\u00f6zle\u015fmesi<\/em>) enligt artikel 237 i TOL.<\/p>\n<h2>Formella Giltighetsvillkor<\/h2>\n<p>Eftersom avtalet avser \u00f6verl\u00e5telse av fast egendom \u00e4r det underkastat strikta formkrav enligt turkisk r\u00e4tt. Enligt artikel 706 i den turkiska civillagen (TCL) g\u00e4ller att <em>&#8221;Ta\u015f\u0131nmaz m\u00fclkiyetinin devrini ama\u00e7layan s\u00f6zle\u015fmelerin ge\u00e7erli olmas\u0131, resm\u00ee \u015fekilde d\u00fczenlenmi\u015f bulunmalar\u0131na ba\u011fl\u0131d\u0131r,&#8221;<\/em> vilket inneb\u00e4r att avtal som syftar till att \u00f6verl\u00e5ta \u00e4gander\u00e4tten till fast egendom endast \u00e4r giltiga om de uppr\u00e4ttas i officiell form. Detta krav f\u00f6rst\u00e4rks ytterligare av artikel 237 i TOL, artikel 60 i notarielagen samt artikel 26 i fastighetsregisterlagen. F\u00f6ljaktligen m\u00e5ste ett byggkontrakt mot l\u00e4genhet uppr\u00e4ttas inf\u00f6r notarius publicus i form av en notariell handling (<em>d\u00fczenleme \u015feklinde resmi senet<\/em>). En enkel notariell bekr\u00e4ftelse av en underskrift uppfyller inte detta krav.<\/p>\n<p>Ett avtal som inte uppfyller detta formkrav \u00e4r r\u00e4ttsligt ogiltigt och medf\u00f6r inga r\u00e4ttigheter eller skyldigheter f\u00f6r n\u00e5gondera parten. Turkiska domstolar till\u00e4mpar dock ett viktigt undantag grundat p\u00e5 principen om god tro enligt artikel 2 i TCL. N\u00e4r byggnationen i allt v\u00e4sentligt har slutf\u00f6rts i tillit till ett informellt ing\u00e5nget avtal kan mark\u00e4garen inte \u00e5beropa formell ogiltighet f\u00f6r att undg\u00e5 sina skyldigheter, eftersom ett s\u00e5dant f\u00f6rfarande skulle utg\u00f6ra ett missbruk av r\u00e4tten.<\/p>\n<h2>Avtalets Parter<\/h2>\n<p>De tv\u00e5 parterna i ett byggkontrakt mot l\u00e4genhet \u00e4r mark\u00e4garen (<em>arsa sahibi<\/em>) och entrepren\u00f6ren (<em>y\u00fcklenici<\/em> eller <em>m\u00fcteahhit<\/em>). Mark\u00e4garen kan vara en fysisk person, en privat juridisk person eller en offentligr\u00e4ttslig juridisk person. Entrepren\u00f6ren \u00e4r vanligtvis ett byggf\u00f6retag eller en enskild fastighetsutvecklare. I praktiken \u00e4r det \u00e4ven vanligt att flera mark\u00e4gare \u00e4r parter i samma avtal, s\u00e4rskilt vid stadsf\u00f6rnyelseproject d\u00e4r ett helt kvarter bebyggs p\u00e5 nytt.<\/p>\n<h2>Mark\u00e4garens Skyldigheter<\/h2>\n<p>Mark\u00e4garens prim\u00e4ra skyldighet \u00e4r att st\u00e4lla marken till entrepren\u00f6rens f\u00f6rfogande i ett skick som \u00e4r fysiskt och r\u00e4ttsligt l\u00e4mpligt f\u00f6r byggnation. Fysisk l\u00e4mplighet kr\u00e4ver att marken \u00e4r fri fr\u00e5n befintliga byggnader och boende. R\u00e4ttslig l\u00e4mplighet inneb\u00e4r att marken m\u00e5ste vara byggbar enligt till\u00e4mpliga planbest\u00e4mmelser i lag nr 3194 om byggande (<em>\u0130mar Kanunu<\/em>). Mark\u00e4garen \u00e4r \u00e4ven skyldig att \u00f6verl\u00e5ta de avtalade markandelarna till entrepren\u00f6ren inom de tidsfrister som anges i avtalet. Underl\u00e5tenhet att fullg\u00f6ra denna skyldighet i r\u00e4tt tid utg\u00f6r dr\u00f6jsm\u00e5l (<em>temerr\u00fct<\/em>) och ger entrepren\u00f6ren r\u00e4tt att anv\u00e4nda de r\u00e4ttsmedel som finns tillg\u00e4ngliga enligt artikel 125 i TOL.<\/p>\n<h2>Entrepren\u00f6rens Skyldigheter<\/h2>\n<p>Entrepren\u00f6rens huvudsakliga skyldighet \u00e4r att slutf\u00f6ra byggnationen i full \u00f6verensst\u00e4mmelse med de specifikationer, tekniska ritningar och tidsplaner som anges i avtalet. Entrepren\u00f6ren ska tillhandah\u00e5lla allt material och b\u00e4ra alla byggkostnader om inte annat avtalats. Vid f\u00e4rdigst\u00e4llandet \u00e4r entrepren\u00f6ren skyldig att leverera de sj\u00e4lvst\u00e4ndiga enheter som \u00e4r avsedda f\u00f6r mark\u00e4garen i felfritt skick. Vid f\u00f6rekomst av fel har mark\u00e4garen r\u00e4tt att beg\u00e4ra avhj\u00e4lpande, en proportionell minskning av den avtalade ers\u00e4ttningen eller h\u00e4vning av avtalet, beroende p\u00e5 felets allvar och i enlighet med artikel 475 i TOL.<\/p>\n<h2>Registrering av Avtalet i Fastighetsregistret<\/h2>\n<p>\u00c4ven om registrering inte \u00e4r ett giltighetsvillkor kan byggkontrakt mot l\u00e4genhet antecknas (<em>\u015ferh<\/em>) i fastighetsregistret. Denna anteckning omvandlar vad som annars \u00e4r en personlig r\u00e4ttighet till en r\u00e4ttighet som kan g\u00f6ras g\u00e4llande mot tredje man. Enligt artikel 1009 i TCL g\u00e4ller att <em>&#8221;Arsa pay\u0131 kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmesinden do\u011fan ki\u015fisel haklar, tapu k\u00fct\u00fc\u011f\u00fcne \u015ferh verilebilir,&#8221;<\/em> vilket m\u00f6jligg\u00f6r registrering av entrepren\u00f6rens r\u00e4ttigheter som h\u00e4rr\u00f6r fr\u00e5n avtalet i anslutning till \u00e4gander\u00e4ttsbeviset. N\u00e4r anteckningen v\u00e4l \u00e4r gjord kan entrepren\u00f6ren \u00e4ven beg\u00e4ra avregistrering av efterf\u00f6ljande inteckningar eller utm\u00e4tningar som \u00e4r of\u00f6renliga med avtalet.<\/p>\n<h2>Konsekvenser av Entrepren\u00f6rens Underl\u00e5tenhet att Slutf\u00f6ra Byggnationen<\/h2>\n<p>N\u00e4r entrepren\u00f6ren inte lyckas slutf\u00f6ra byggnationen inom den avtalade tidsfristen kan mark\u00e4garen delge en dr\u00f6jsm\u00e5lsunderr\u00e4ttelse och bevilja en sk\u00e4lig till\u00e4ggsfrist f\u00f6r fullg\u00f6rande. Om entrepren\u00f6ren fortfarande underl\u00e5ter att prestera kan mark\u00e4garen h\u00e4va avtalet, kr\u00e4va skadest\u00e5nd eller l\u00e5ta en tredje part utf\u00f6ra arbetet p\u00e5 entrepren\u00f6rens bekostnad. Enligt artikel 473 i TOL g\u00e4ller att <em>&#8221;Y\u00fcklenicinin i\u015fi gere\u011fi gibi ya da s\u00f6zle\u015fmede \u00f6ng\u00f6r\u00fclen s\u00fcre i\u00e7inde bitiremeyece\u011fi a\u00e7\u0131k\u00e7a anla\u015f\u0131l\u0131yorsa, i\u015f sahibi teslim i\u00e7in \u00f6ng\u00f6r\u00fclen g\u00fcn\u00fc beklemek zorunda olmaks\u0131z\u0131n s\u00f6zle\u015fmeden d\u00f6nebilir,&#8221;<\/em> vilket inneb\u00e4r att n\u00e4r det \u00e4r uppenbart att entrepren\u00f6ren inte kommer att slutf\u00f6ra arbetet korrekt eller i tid kan mark\u00e4garen h\u00e4va avtalet utan att inv\u00e4nta leveransdatumet.<\/p>\n<h2>Upps\u00e4gning av Avtalet<\/h2>\n<p>Upps\u00e4gning av ett byggkontrakt mot l\u00e4genhet \u00e4r underkastad samma formkrav som de vilka reglerar dess ing\u00e5ende. En ensidig f\u00f6rklaring om upps\u00e4gning saknar r\u00e4ttslig verkan; avtalet kan endast bringas att upph\u00f6ra antingen genom \u00f6msesidig skriftlig \u00f6verenskommelse uppr\u00e4ttad inf\u00f6r notarius publicus eller genom domstolsbeslut. N\u00e4r parterna inte kan enas om upps\u00e4gning m\u00e5ste den skadelidande parten inleda r\u00e4ttsliga f\u00f6rfaranden och erh\u00e5lla ett domstolsbeslut. Denna regel har konsekvent bekr\u00e4ftats i den turkiska kassationsdomstolens (<em>Yarg\u0131tay<\/em>) avg\u00f6randen, som har fastslagit att varje informellt f\u00f6rs\u00f6k till upps\u00e4gning saknar r\u00e4ttslig verkan.<\/p>\n<h2>Tvister och Beh\u00f6riga Domstolar<\/h2>\n<p>Tvister som uppst\u00e5r till f\u00f6ljd av byggkontrakt mot l\u00e4genhet faller inom allm\u00e4n tingsr\u00e4tts (<em>asliye hukuk mahkemesi<\/em>) beh\u00f6righet. Den territoriella beh\u00f6righeten fastst\u00e4lls i allm\u00e4nhet utifr\u00e5n den ber\u00f6rda fastighetens bel\u00e4genhet. Parterna kan \u00e4ven inkludera skiljedomsklausuler i sina avtal, varvid tvister h\u00e4nskjuts till skiljedomsf\u00f6rfarande i st\u00e4llet f\u00f6r till de statliga domstolarna. Med tanke p\u00e5 dessa avtals komplexitet och ekonomiska betydelse \u00e4r det starkt rekommenderat att anlita en advokat med specialisering inom turkisk fastighetsr\u00e4tt innan ett s\u00e5dant
